Terms of service.
The terms that govern how we work with clients. Plain language, no surprises.

Who these terms apply to
These terms apply to any commercial engagement between Codestika SARL (Rue de la Liberté, Gueliz, Marrakech 40000, Morocco — "Codestika", "we", "us") and any client who signs a statement of work, proposal, or service agreement with us.
Engagements
All project work is governed by a signed proposal or statement of work (SOW). The SOW defines the deliverables, timeline, payment schedule, and acceptance criteria. In the event of a conflict between this page and a signed SOW, the SOW takes precedence.
Payment
Invoices are due within 14 days of issue unless the SOW specifies otherwise. We work on a milestone-payment basis: typically 30% to start, 30% at a mid-point, and 40% at delivery. Overdue invoices accrue interest at 1.5% per month. We reserve the right to pause work on accounts more than 21 days past due.
Intellectual property
All IP created under an engagement transfers to the client in full upon receipt of final payment. Until then, Codestika retains ownership. We retain the right to describe the work in our portfolio and marketing materials unless the client requests confidentiality in writing.
Confidentiality
Both parties agree to keep the other's non-public information (business plans, client lists, technical architecture, pricing) confidential for 3 years following the engagement. This does not apply to information that is or becomes publicly available through no fault of either party.
Warranties and liability
We warrant that deliverables will materially conform to the agreed specification for 30 days following delivery (the warranty period). Our total liability for any claim arising from an engagement is capped at the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages.
Termination
Either party may terminate an engagement with 14 days written notice. The client pays for all work completed up to the termination date. If Codestika terminates without cause, we refund any prepaid fees for work not yet started.
Governing law
These terms are governed by the laws of Morocco. Any dispute that cannot be resolved by mutual agreement will be submitted to the competent courts of Marrakech.
Updates
We may update these terms from time to time. Material changes will be posted here and take effect 30 days after posting. Engagements already in progress are governed by the terms in effect at the time of signing.
